BidRebel Contractor Terms
Version: 5.9 Effective Date: September 30, 2026 Last Updated: September 30, 2026
How These Contractor Terms Work
These Contractor Terms are a binding agreement between you (the Contractor) and BidRebel Inc. ("BidRebel," "we," "us," or "our") that supplements the BidRebel Terms of Service (the "Terms"). By registering as a Contractor, submitting a Bid, or otherwise using the Platform as a Contractor, you agree to the Terms, to these Contractor Terms, and to the Privacy Policy.
The Terms apply to you in full, including the provisions on accounts, prohibited conduct, user content, Reviews, Accountability Notices, intellectual property, disclaimers, limitation of liability, indemnification, changes, dispute resolution and arbitration, and governing law. These Contractor Terms add the contractor-specific provisions below. In the event of a conflict between these Contractor Terms and the Terms regarding contractor-specific subject matter, these Contractor Terms control; in all other respects, the Terms control.
Defined terms. Capitalized terms used but not defined here (including "Project," "Bid," "Awarded Contractor," "Held Funds," "Release," "Confirmation," "Auto-Release Timeout," "Agent of Payee," "Platform Fee," "Transaction Fee," "Connected Account," "Background Check," "Trade," "Skills," "License," and "Work") have the meanings given in the Terms and the BidRebel Glossary of Defined Terms, which is incorporated by reference. In the event of a conflict, these Contractor Terms and the Terms control over the Glossary.
1. Independent Contractor Classification
You and BidRebel agree and acknowledge as follows. This Section 1 is the classification recital of these Contractor Terms and is intended to be the primary contractual expression of the independent-contractor relationship between you and BidRebel.
You are an independent contractor and not an employee of BidRebel. You and BidRebel are not employer and employee, joint venturers, partners, or franchisor and franchisee. Nothing in these Contractor Terms creates an employment relationship, a partnership, or a joint venture. The limited-agency appointment in Section 4 (in which you appoint BidRebel as your agent for the sole and limited purpose of collecting and processing customer payments on your behalf, including the Contractor-owed cancellation and no-show amounts described in Sections 4 and 5) does not create an employment relationship, a general agency, a partnership, or a joint venture, and does not give BidRebel any right to direct or control the manner or means by which you perform the Work; that appointment is a payment-collection agency only, and it runs from you to BidRebel (you are the principal for that limited purpose), not from BidRebel to you. You are not entitled to employment benefits from BidRebel, including without limitation health insurance, retirement benefits, paid time off, unemployment insurance, workers' compensation, or any other employee benefit. You are responsible for your own self-employment taxes consistent with Section 9.
You operate your own business. You operate your own independent business of providing services to the public. You set your own prices. You set your own availability. You decide which Projects to Bid on and which Projects to decline. You decide the manner and means by which you perform the Work. You use your own tools, equipment, and materials. You are responsible for your own business license, trade Licenses, and insurance consistent with Section 3. You may provide services to other marketplaces and to customers outside the Platform. These Contractor Terms do not restrict your ability to do business outside the Platform or to use other lead-generation, marketing, or marketplace platforms.
BidRebel does not direct or control the Work. BidRebel facilitates the marketplace by matching Customers to Contractors based on Skills, service area, capacity, and, where applicable, a Customer's Background Check Badge preference. Holding a Background Check Badge does not otherwise improve your ranking or surfacing. BidRebel does not direct the manner or means by which you perform the Work. BidRebel does not set your work hours, does not require you to accept a particular volume of Projects, does not require you to maintain a particular schedule, does not assign Projects to you on a dispatch basis, does not supervise the performance of the Work, and does not require uniforms, dress codes, or branded equipment. The Platform provides the marketplace and the payment-collection function described in these Contractor Terms; the Work itself is performed under your own direction and control.
Classification recitals describe the actual relationship. The recitals in this Section 1 are intended to describe the actual operation of the Platform and the actual relationship between you and BidRebel; they do not create a classification by contract that contradicts the substance of the relationship.
Your representations. You represent and warrant that the facts recited in this Section 1 accurately describe how you operate your business and your relationship with BidRebel, and you agree to indemnify BidRebel for claims, damages, losses, liabilities, costs, and expenses to the extent arising out of your misrepresentation of those facts.
2. Background Checks and Screening Disclosures
This Section 2 describes the structure of the Fair Credit Reporting Act ("FCRA") background-check process. This Section 2 is not itself the FCRA disclosure and authorization. The actual FCRA disclosure and authorization is presented to you on a separate click-through screen at the time you initiate the Background Check, as a stand-alone document consistent with 15 U.S.C. § 1681b(b)(2)(A)(i).
Optional Background Check and the Background Check Badge. The Background Check is optional: you may submit Bids without completing one. BidRebel offers a Background Check administered by Checkr, Inc. ("Checkr") as a consumer reporting agency under the FCRA, initiated through the Platform at your election. The Background Check is paid for by you, at the price displayed in the Platform at the time you order it; the price is shown before you commit, the charge is made when you order, and it is non-refundable once the Background Check has been initiated, except where a refund is required by law. If you successfully complete the Background Check — as determined by BidRebel based on the screening result returned by Checkr — your Contractor profile will display a "Background Check Badge" indicating that a Background Check was conducted and cleared, reflecting the date of the result.
What the Badge is, and is not. The Background Check Badge reflects a screening result as of its date. It is not a guarantee, warranty, or endorsement by BidRebel of you, of the accuracy or completeness of any screening, or of the safety or quality of any Work, and Customers are told the same in the Terms. BidRebel may condition continued display of the Badge on periodic re-screening at the then-displayed price, and may remove the Badge if it is not renewed when required, if BidRebel learns of information making it inaccurate or misleading, or as provided in Section 12. Choosing not to order a Background Check does not by itself affect your ability to submit Bids; however, BidRebel reserves the right to act on screening results consistent with applicable law — including declining to issue or removing the Badge and, where a result indicates a serious risk to the safety or integrity of the Platform, restricting or terminating your participation — following the adverse-action process below.
Customer Badge preference. Choosing not to obtain or renew a Background Check does not generally prevent you from submitting Bids, but where the Platform offers Customers the option, it may make you ineligible to bid on, or prevent your Bid from being surfaced for, Projects where the Customer has elected to consider only Contractors with a current Background Check Badge.
Disclosure and authorization presented through the screening provider. At the time you initiate the Background Check, the required disclosure and authorization are presented to you through Checkr's hosted screening flow. That flow presents the stand-alone disclosure required by 15 U.S.C. § 1681b(b)(2)(A)(i), captures your written authorization under 15 U.S.C. § 1681b(b)(2)(A)(ii), and presents any state-law notices that apply to you. These Contractor Terms do not incorporate that disclosure or authorization by reference and do not supplement or condition them with any other contractual term, liability waiver, release, or extraneous provision.
Distinct events. Your acceptance of these Contractor Terms at signup is a different and distinct event from the disclosure and authorization captured in the screening provider's flow at the time you initiate the Background Check. The two are captured and recorded separately.
Pre-adverse-action and adverse-action notices. If the screening result indicates that the Background Check Badge cannot be issued or must be removed, or that other action may be warranted, and BidRebel intends to take an adverse action based in whole or in part on the consumer report (including declining to issue or removing the Badge, or restricting your eligibility to submit Bids or to maintain your Account):
- You will receive a pre-adverse-action notice consistent with 15 U.S.C. § 1681b(b)(3)(A), together with a copy of the consumer report (provided by Checkr) and a copy of "A Summary of Your Rights Under the Fair Credit Reporting Act."
- A reasonable waiting period will pass to allow you to dispute the accuracy of any item in the consumer report directly with Checkr consistent with 15 U.S.C. § 1681i.
- If the adverse action proceeds after the waiting period, you will receive an adverse-action notice consistent with 15 U.S.C. § 1681m, including the identity of Checkr, a statement that Checkr did not make the eligibility decision, and notice of your right to obtain a free copy of the consumer report from Checkr and to dispute the accuracy of the report directly with Checkr.
Dispute rights with Checkr. You may dispute the accuracy or completeness of any item in the consumer report directly with Checkr under 15 U.S.C. § 1681i. Checkr will reinvestigate the disputed item and report the result, and BidRebel will reconsider the eligibility determination based on the corrected report if applicable.
State-law overlays. State background-check law may apply in addition to the FCRA, depending on your state of operation, including limits on when criminal-record inquiries may be made and how far back criminal-record information may be considered.
Re-screening. Continued display of the Background Check Badge may be conditioned on periodic re-screening at the then-displayed price. You may decline a re-screening, in which case the Badge may expire or be removed; declining a re-screening does not by itself prevent you from submitting Bids. Any separate action BidRebel takes based on information contained in a consumer report is subject to the disclosure, authorization, pre-adverse-action, and adverse-action procedures described above and applicable law.
Privacy treatment of Background Check data. The Contractor Screening section of the Privacy Policy describes the handling of information you provide to Checkr. Checkr returns a screening result or eligibility status to BidRebel, which BidRebel uses as part of its contractor eligibility process. BidRebel may access screening information through Checkr as needed to make contractor eligibility decisions, and BidRebel limits the screening information it stores in its own systems to what it needs to operate the Platform and meet legal requirements; BidRebel does not store the underlying consumer report contents in its own systems.
3. License and Insurance Representations and Warranties
Trade licenses. You represent and warrant that you hold all federal, state, and local Licenses required for the Trade or Trades you configure in the Contractor Dashboard, and that you will keep those Licenses current at all times you are active on the Platform. You agree to notify BidRebel through the Platform within five (5) business days of any suspension, revocation, expiration, or lapse of any required License.
Business license. You represent and warrant that you hold any business license required by the state or municipality in which you operate.
Insurance. You represent and warrant that you carry general liability insurance at no less than the minimums published in the Platform, currently $1,000,000 per occurrence and $2,000,000 aggregate. You agree to provide proof of insurance on BidRebel's request in the form of a certificate of insurance from an insurer with an A.M. Best rating of A- or better, and to add BidRebel as an additional insured where required by applicable law.
Workers' compensation. Where applicable to your business under state law (for example, where you have employees), you represent and warrant that you carry workers' compensation insurance consistent with the laws of your state of operation.
Vehicle insurance. Where you use a vehicle in the performance of the Work, you represent and warrant that you carry commercial vehicle liability insurance consistent with the laws of your state of operation.
Safety standards. You agree to perform the Work consistent with applicable safety standards, including Occupational Safety and Health Administration standards where applicable to your Trade. Safety-standard compliance is a representation about your business practices, not a direction by BidRebel about how you perform the Work (see Section 1).
4. Agent-of-Payee Appointment, the Payment Processor, and How BidRebel Collects and Holds Customer Payments
Appointment of BidRebel as your limited payment-collection agent. You expressly appoint BidRebel as your limited agent for the sole and limited purpose of collecting and processing payment from the Customer on your behalf. That appointment covers each of the following amounts that the Customer becomes obligated to pay to you in connection with a Project you are awarded through the Platform:
- the Bid amount (the price you quoted for the Work);
- the cancellation fee, equal to 5% of the Bid amount, that the Customer owes you as compensation for the time you reserved for the Work when the Customer cancels the Project after Contractor Confirmation (your affirmative confirmation through the Platform that you accept the awarded Project and intend to proceed), as set out in the Fee Schedule; and
- the no-show fee of $20 that the Customer owes you on a Customer no-show where you and the Customer do not reschedule, as set out in the Fee Schedule.
You agree that the Customer's payment of each of those amounts through the Platform satisfies the Customer's obligation to pay you that amount, even though BidRebel collects the Customer's payment as your collection agent, holds it as Held Funds where applicable, and Releases or transfers it to your Connected Account at a later time as described in Section 5. In plain terms: when a Customer pays the Bid amount, the 5% cancellation fee, or the $20 no-show fee to you through the Platform, that Customer has paid you (through BidRebel as your collection agent), and the Customer does not owe you that amount a second time. This appointment is limited to the collection and processing of those amounts. It does not make BidRebel your general agent, your employer, your partner, or your joint venturer, and it does not give BidRebel any right to direct or control the manner or means by which you perform the Work (see Section 1). This appointment mirrors the disclosure made to the Customer in Section 6.2 of the Terms; the appointment appears on both sides, and the two documents are read together.
What is NOT collected on your behalf. BidRebel's own charges are not collected on your behalf and are not part of this appointment. The Platform Fee, the Transaction Fee, and the $4.99 processing charge that applies on a cancellation or a no-show are BidRebel's own charges, retained by BidRebel as BidRebel's consideration. They are charged to the Customer on top of the amounts owed to you; they are not amounts BidRebel collects for you, are not transferred to you, and are outside this agent-of-payee appointment. You receive the Bid amount, the 5% cancellation fee, and the $20 no-show fee (as applicable under Section 5); BidRebel retains the Platform Fee, the Transaction Fee, and the $4.99 processing charge.
Why this appointment matters. This appointment is what allows BidRebel to collect on your behalf the amounts the Customer owes you and to hold or transfer them without BidRebel becoming a party to your work contract with the Customer and without BidRebel being the party that owes you those amounts. BidRebel collects your money as your collection agent, holds it where the mechanics call for a hold, and Releases or transfers it to you when the applicable condition in Section 5 is met.
Your Connected Account with the Payment Processor. Payments on the Platform are processed by a licensed third-party payment processor engaged by BidRebel (the "Payment Processor"). To receive Releases, transfers, and payouts through the Platform you must establish a payment account (your "Connected Account") with the Payment Processor through the onboarding flow presented in the Platform. The Connected Account is governed by the Payment Processor's account terms, services agreement, and privacy policy, each of which is identified and presented to you during onboarding. By onboarding through the Platform to a Connected Account, you represent and warrant that you have read, understood, and agree to be bound by the Payment Processor's account terms and services agreement in addition to these Contractor Terms. The Payment Processor is a separate party with whom you have a separate contractual relationship; BidRebel facilitates the introduction but is not a party to the Payment Processor's account terms.
Know Your Customer information collection. As part of the Payment Processor's onboarding, the Payment Processor collects information from you required by its Know Your Customer obligations under applicable federal law, which may include your legal name or business name, address, date of birth or business formation date, Social Security number or Employer Identification Number, bank account information for payouts, and any documents the Payment Processor requires to verify your identity. The Payment Processor is responsible for this information as described in the Payment Processor's privacy policy. BidRebel stores only the account identifier returned by the Payment Processor and the onboarding-completion status of your Connected Account.
What the Customer pays, and what you receive (fee-on-top). At the time the Customer selects you as the Awarded Contractor, the amount charged to the Customer is the sum of (a) the Bid amount, (b) the Platform Fee, (c) the Transaction Fee, and (d) applicable tax, less (e) the Bank Payment Discount where the Customer elects to pay by ACH direct debit from a bank account, each shown to the Customer as described in the Terms and the Fee Schedule. You receive the full Bid amount on Release. The Platform Fee and the Transaction Fee are charged to the Customer on top of the Bid amount; they are not deducted from the amount you receive. BidRebel retains the Platform Fee and the Transaction Fee as its consideration. The Bank Payment Discount is funded entirely by BidRebel out of its own fees; it does not reduce the Bid amount, and you receive the full Bid amount on Release regardless of the payment method the Customer uses.
How BidRebel holds the Customer's payment (the Hold). When the Customer selects you as the Awarded Contractor, BidRebel charges the Customer through the Payment Processor and holds the Customer's payment as Held Funds. BidRebel does not pay you right away. BidRebel holds the Customer's payment and Releases the Bid amount to your Connected Account when a Release condition in Section 5 is met (Customer Confirmation, the Auto-Release Timeout, or the outcome of a dispute). This holding of the Customer's payment as Held Funds is what these Contractor Terms call "the Hold." The Contractor-owed cancellation and no-show amounts are collected and disbursed within the same Payment Processor flow, as described in Section 5.
Work-start notice (when you may begin). Do not begin the Work until BidRebel notifies you that the Customer's payment has been received. The Customer's payment is "received" when the Payment Processor reports the payment as succeeded. For card payments, the payment is typically reported as succeeded promptly after selection, and the notice follows. For ACH direct debit from a bank account, the debit takes several business days to clear and settle and is reported as succeeded once it has settled; BidRebel will tell you that the payment is being made by bank payment, and the work-start notice — and therefore the scheduled start of the Work — may be delayed until the payment settles. You may choose, at your own discretion, to begin the Work before an ACH payment settles; the decision to begin before settlement is yours, and the risk of doing so is yours. If a bank payment fails or is returned, whether or not you have begun the Work: the Project is automatically paused; BidRebel notifies you and the Customer as soon as possible after learning of the failure or return; and the Customer remains obligated to pay for the Work under the Terms and must promptly pay by another valid payment method. Where you began the Work before settlement, BidRebel will make reasonable efforts to assist in re-collecting payment from the Customer, and the matter is otherwise handled under the cancellation and dispute provisions of Section 5 and the Terms — but BidRebel does not guarantee, advance, or insure the Customer's payment, and responsibility for the decision to begin before settlement rests with you.
Where the funds are held (BidRebel is not a bank and is not a money transmitter). While the Customer's payment is held as Held Funds, it is held within the Payment Processor's payment system in a processor-held balance. It is not held in a BidRebel bank account. BidRebel is not a bank and is not a money transmitter. The Payment Processor is the licensed payment processor. The Held Funds are custodied within the Payment Processor's payment system, and BidRebel directs the Release of the Bid amount to your Connected Account when a Release condition in Section 5 is met. BidRebel's role is to direct the timing of the Release; BidRebel does not take custody of the Held Funds into a BidRebel-controlled bank account. The Held Funds are not a bank deposit, are not insured by the Federal Deposit Insurance Corporation or by any other deposit-insurance program, and do not bear interest. The Contractor-owed cancellation and no-show amounts BidRebel collects on your behalf are likewise held and moved within the Payment Processor's payment system and are never swept into a BidRebel-controlled bank account.
Authority to Release, transfer, and remit payouts. You authorize BidRebel to direct the Payment Processor to Release the Bid amount to your Connected Account when a Release condition in Section 5 is met, to transfer to your Connected Account the Contractor-owed cancellation and no-show amounts when they become payable to you under Section 5, and you authorize the Payment Processor to remit payouts of the Released and transferred funds to the bank account on file with the Payment Processor for your Connected Account. You are responsible for keeping the bank account information current with the Payment Processor. You agree that the Payment Processor may suspend payouts to the Connected Account where the Payment Processor determines, under its own terms, that suspension is required (for example, on identification of suspected fraud, on a holds-and-reserves event, or on a Know Your Customer remediation event).
The Payment Processor's role. The Payment Processor is the licensed payment processor. The Payment Processor is not a party to the Work contract between you and the Customer. The Payment Processor's role is governed by the Payment Processor's terms identified above; BidRebel does not warrant or represent the Payment Processor's services.
5. Release of Held Funds, Cancellation and No-Show Amounts, Payout Timing, Chargebacks, and 1099-K Reporting
Release conditions. After you mark the Project done, the Customer receives a request to confirm that the Work is complete. The Bid amount is Released from the Held Funds to your Connected Account on the first to occur of:
- Customer Confirmation. The Customer confirms through the Platform that the Work is complete. This is the normal path. Where the Customer paid by ACH direct debit from a bank account, Release may be delayed until the Customer's payment has cleared and settled.
- Auto-Release Timeout. The Customer neither confirms the Work is complete nor opens a dispute within three (3) days after you mark the Project done. On the expiration of that three-day window, BidRebel automatically Releases the Bid amount to your Connected Account. The Auto-Release Timeout exists so that the Held Funds are never held indefinitely and so that your earned funds are Released to you even if the Customer takes no action.
- Dispute resolution in your favor (in whole or in part). If the Customer opens a dispute before the Auto-Release Timeout, the Release is paused and the Auto-Release Timeout does not run while the dispute is open. BidRebel resolves the dispute as marketplace facilitator consistent with Section 6.4 of the Terms, and Releases to you the portion (if any) of the Held Funds that the dispute resolution allocates to you.
On each Release, BidRebel Releases the full Bid amount (or the dispute-adjusted portion) to your Connected Account and retains the Platform Fee and the Transaction Fee.
Cancellation and no-show amounts owed to you. In addition to the Bid amount, the Fee Schedule provides for two amounts the Customer may owe you, which BidRebel collects on your behalf under the appointment in Section 4 and disburses to your Connected Account:
- Cancellation fee (5% of the Bid amount). If the Customer cancels the Project after Contractor Confirmation, the Customer owes you a cancellation fee of 5% of the Bid amount as compensation for the time you reserved. If the Customer cancels after selection but before Contractor Confirmation, the Customer receives a full refund and no cancellation fee or processing charge applies. BidRebel collects that amount from the Customer as your collection agent and transfers it to your Connected Account within the Payment Processor's flow. A separate $4.99 processing charge is retained by BidRebel and is not part of the amount you receive.
- No-show fee ($20), two branches. If the Customer no-shows, the treatment depends on whether you and the Customer reschedule:
- No reschedule. Where you and the Customer do not reschedule, the Customer owes you the 5% cancellation fee and a $20 no-show fee. BidRebel collects both on your behalf and transfers them to your Connected Account. The $4.99 processing charge is retained by BidRebel.
- Reschedule. If you and the Customer agree to reschedule, there is no cancellation fee and no $4.99 processing charge. Instead, the $20 no-show fee is added to your total Bid amount for the rescheduled Project, and you receive it as part of your Bid amount on the ordinary Release path when a Release condition is met on the rescheduled Project.
The cancellation and no-show amounts BidRebel collects on your behalf are held and moved within the Payment Processor's payment system and are never swept into a BidRebel-controlled bank account, the same as the Bid amount.
Payout timing (the clock starts at Release, not at capture). The payout of Released funds from your Connected Account to your bank account on file with the Payment Processor follows the Payment Processor's standard payout schedule, as in effect for your Connected Account and typically a small number of business days after the funds become available in the Connected Account. Funds do not become available in your Connected Account until Release, so the payout clock starts at Release, not at the time the Customer was charged. Until a Release condition is met, no funds are available in your Connected Account for a Project and no payout clock runs for that Project.
Release is gated on your onboarding being complete. Release of the Bid amount, and transfer of the Contractor-owed cancellation and no-show amounts, require that your Payment Processor onboarding be complete. If a Release condition is met but your onboarding is not complete at that time, the Bid amount continues to be held as Held Funds, BidRebel notifies you that your onboarding must be completed, and the amount is Released or transferred once your onboarding completes. Your earned funds are not forfeited by an incomplete onboarding; they are held until you complete onboarding. You are responsible for completing your Payment Processor onboarding promptly so that your Releases and transfers are not delayed.
If you become unresponsive. So that a Customer's payment is never trapped, the Customer has a definite path to recover the Held Funds if you do not perform. You are considered unresponsive when BidRebel has sent you a response-required notice and you have failed to respond within the time stated in that notice. If you cancel, fail to perform, fail to appear, or become unresponsive through no fault of the Customer, the Customer may cancel and receive a full refund of all amounts the Customer actually paid for the Project (including the Bid amount, the Platform Fee, the Transaction Fee, and any refundable tax) from the Held Funds, with no Customer cancellation-related charges, or may open a dispute, consistent with Sections 5.4 and 6.4 of the Terms; the corresponding Accountability Notice may apply as described in Section 12 of the Terms. If you perform and respond, your Release proceeds normally under the Release conditions above.
Chargebacks and refund offsets. Consistent with Section 6.6 of the Terms:
- Refunds before Release. If a refund is owed to the Customer and the Bid amount has not yet been Released to you, the refund is made from the Held Funds directly; your Connected Account is not debited for a pre-Release refund.
- Refunds after Release. If a refund is owed to the Customer after the Bid amount has already been Released to you (for example, after an Auto-Release Timeout or a Confirmation followed by a later-adjudicated issue), the refund is handled by reversing the amount from your Connected Account and then refunding the Customer. BidRebel may recover the reversed amount from your Connected Account balance or from your future payouts if your Connected Account balance is insufficient.
- Chargebacks. If a Customer initiates a card-network chargeback on a Project for which the Bid amount has already been Released to you, BidRebel may, consistent with the Payment Processor's account terms, recover the disputed amount from your Connected Account up to the amount of the underlying Bid, plus any chargeback fees imposed by the Payment Processor or the card networks, and may deduct from your future payouts where your Connected Account balance is insufficient.
- Holds and reserves. BidRebel or the Payment Processor may place a hold or reserve on your Connected Account consistent with the Payment Processor's holds-and-reserves practices under the Payment Processor's account terms.
1099-K reporting. The Payment Processor is responsible for the generation and delivery of Internal Revenue Service Form 1099-K reporting to you and to the Internal Revenue Service consistent with 26 U.S.C. § 6050W, where the amount settled to your Connected Account crosses the applicable threshold for the tax year. Because you receive the full Bid amount under the fee-on-top model, and because the Contractor-owed cancellation and no-show amounts are settled to your Connected Account, the amount reported reflects the amounts settled to your Connected Account. The applicable threshold for any given tax year is the threshold in effect under federal law for that tax year; state 1099 reporting thresholds may differ and are also handled by the Payment Processor. You authorize BidRebel to share with the Payment Processor the information necessary for the Payment Processor to perform this reporting, and you authorize the Payment Processor to share with BidRebel the information BidRebel needs to maintain its own books and records consistent with applicable law.
6. Platform Fee and Transaction Fee
BidRebel charges the Customer a Platform Fee and a Transaction Fee as set out in the Fee Schedule (currently, a Platform Fee of 15% of the Bid amount capped at $199.00, and a Transaction Fee of 3% of the Bid amount). Both fees are charged to the Customer on top of the Bid amount and are retained by BidRebel; they are not deducted from the amount you receive. You receive the full Bid amount on Release.
Display. The Platform Fee and Transaction Fee applicable to a Bid are displayed to you at the time you submit the Bid, and the all-in total (Bid amount plus fees plus any applicable tax) is displayed to the Customer before selection, as described in the Fee Schedule.
Changes. Changes to the Fee Schedule follow the notice and material-change re-acceptance mechanics of Section 20 of the Terms and Section 9 of the Fee Schedule.
7. Anti-Circumvention
You agree not to solicit any Customer off-platform for services after you have submitted a Bid on a Project that Customer posted through the Platform. This anti-circumvention obligation:
- Applies for the duration of these Contractor Terms and for twelve (12) months following their termination;
- Does not restrict you from soliciting any Customer with whom you had a documented business relationship before your first Bid on the Platform; on BidRebel's request, you will provide reasonable documentation of the preexisting relationship;
- Does not restrict you from operating your independent business outside the Platform generally; the obligation runs only to Customers introduced through the Platform; and
- Does not restrict the Customer's ability to choose any contractor for any future project; the obligation runs to you, not to the Customer.
Customers are separately prohibited under Section 6.8 of the Terms from soliciting or paying for Platform-sourced Projects outside the Platform's payment flow.
8. Accountability Notices
Accountability Notices are governed by Section 12 of the Terms, which applies to all users, including Contractors. By accepting these Contractor Terms you acknowledge and consent to the Accountability Notice mechanism as a condition of using the Platform, including that:
- Accountability Notices are limited to the objective, platform-recorded event categories listed in Section 12.2 of the Terms (a confirmed cancellation of a Project after it was accepted; a documented failure to appear for a scheduled appointment; and disputes that were abandoned);
- An Accountability Notice may be visible to a counterparty in a related transaction and, where applicable, on your profile, and may be considered in BidRebel's trust-and-safety program and bid-curation process;
- An Accountability Notice is displayed for no longer than 12 months from the date of the underlying event, as described in Section 12.5 of the Terms; and
- You may not remove an Accountability Notice yourself, but you may dispute its factual accuracy through the correction process described in Section 12.6 of the Terms, and BidRebel will correct or remove any Accountability Notice it determines is inaccurate or was generated in error.
9. Tax Obligations
Self-employment tax. You are responsible for paying all federal, state, and local taxes on your earnings through the Platform, including federal income tax, self-employment tax, state income tax where applicable, and local taxes where applicable. Because you receive the full Bid amount under the fee-on-top model, your gross earnings through the Platform are the amounts settled to your Connected Account (the Bid amounts, together with any Contractor-owed cancellation and no-show amounts).
Tax documents from the Payment Processor. Tax documents (including Form 1099-K where the applicable threshold is met) are generated and delivered by the Payment Processor consistent with Section 5.
Sales tax. Applicable taxes, if any, on a Customer's transaction are calculated and displayed at selection as described in the Terms. BidRebel will calculate, collect, and remit transaction taxes where BidRebel is required to do so by applicable law (for example, as a marketplace facilitator or marketplace provider under state law). You remain responsible for understanding and meeting your own sales-tax and other tax obligations under the laws of your state of operation with respect to amounts not collected and remitted by BidRebel.
No employment-tax withholding. Consistent with Section 1, BidRebel does not withhold any federal or state income tax, FICA, FUTA, state unemployment, state disability, or any other employment-related withholding from your Releases, transfers, or payouts.
10. Intellectual Property
Your Work. You retain all rights in the Work you perform for Customers through the Platform. BidRebel does not claim ownership of the Work or any of its outputs, or of any photograph you upload that depicts the Work or its results.
License grant to BidRebel. You grant BidRebel a limited, non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute (a) your Contractor profile information (business name, photo, logo, biography, service description, and other profile fields you populate), (b) Customer Reviews of your Work (subject to the Customer's rights in the Review), and (c) photographs you upload of your Work or Work-in-progress, for the purposes of marketing the Platform, operating the Platform, and the analytical purposes described in the Privacy Policy. The license is revocable on termination of these Contractor Terms, subject to the data retention practices described in the Privacy Policy and the continuing license in Section 10 of the Terms for content that remains on the Platform.
BidRebel marks. The BidRebel name, logo, marks, and branding are owned by BidRebel. You may not use the BidRebel marks outside the Platform without BidRebel's prior written consent, and you may not use them to imply that you are an employee, agent (other than the limited payment-collection agency in Section 4), partner, or franchisee of BidRebel.
Your marks. You retain all rights in your own business name, marks, and branding, and you grant BidRebel the limited license described above in your business name solely for the purpose of displaying your profile on the Platform.
11. Confidentiality
Confidential Information. Through your use of the Platform you may have access to non-public information about BidRebel, including bid-mechanic implementation details, bid-curation parameters, business-operations information, internal pricing strategies, internal customer-acquisition strategies, and internal vendor relationships ("Confidential Information"). You agree to keep Confidential Information confidential, to use it only for the purpose of using the Platform consistent with these Contractor Terms, and not to disclose it to any third party.
Duration. The confidentiality obligation survives termination of these Contractor Terms for three (3) years, except that for Confidential Information that constitutes a trade secret under the federal Defend Trade Secrets Act, 18 U.S.C. § 1836 et seq., or applicable state trade-secret law, the obligation continues for so long as the information continues to qualify as a trade secret. Nothing in this Section limits the whistleblower immunity provided by 18 U.S.C. § 1833(b).
Carve-outs. The confidentiality obligation does not apply to information that was lawfully known to you before BidRebel disclosed it to you, becomes publicly available through no breach by you, you independently develop without reference to Confidential Information, or you are compelled to disclose by law, court order, subpoena, or governmental authority, provided that you give BidRebel reasonable advance notice and an opportunity to seek a protective order where reasonably practicable.
Permitted statements. Nothing in this Section restricts you from publicly stating that you use BidRebel as a customer-acquisition channel, from listing BidRebel as a marketplace on which you accept Projects, or from communicating with Customers, prospective customers, or other Contractors about your status as a BidRebel Contractor.
12. Termination and Reactivation
Termination by you. You may terminate these Contractor Terms at any time, for any reason or no reason, by closing your Account through the Platform. Termination is effective on the date BidRebel processes your closure request, subject to settlement of pending Bids, Held Funds, Releases, and any Contractor-owed cancellation and no-show amounts.
Termination by BidRebel for cause. BidRebel may terminate these Contractor Terms and suspend or close your Account immediately for cause on the occurrence of any of the following:
- A Background Check result indicates a serious risk to the safety or integrity of the Platform and, following the pre-adverse-action and adverse-action process described in Section 2, BidRebel determines that your continued participation is not appropriate (a result may also lead to the Background Check Badge being declined or removed without further action against your Account);
- Your required License is suspended, revoked, or lapses without cure;
- A safety incident attributable to your Work that, in BidRebel's reasonable judgment, presents a risk to Customers or to BidRebel;
- A material breach of these Contractor Terms or the Terms by you;
- Your insolvency, dissolution, or assignment for the benefit of creditors; or
- A determination by BidRebel that your continued use of the Platform presents a fraud risk, regulatory risk, or marketplace-integrity risk.
Termination by BidRebel without cause. BidRebel may terminate these Contractor Terms without cause on thirty (30) days' written notice to you.
Consequences of termination. On termination: your Account is closed; pending Bids are voided; Held Funds associated with a Project you had been awarded and had not yet completed are handled under Section 5 (Release on a Release condition, refund to the Customer where owed, or dispute resolution) — termination does not by itself forfeit Held Funds you have earned; any Contractor-owed cancellation or no-show amounts that had become payable to you before termination are transferred to you under Section 5; and funds Released or transferred to your Connected Account are remitted under the Payment Processor's standard payout schedule, subject to chargebacks and refund offsets consistent with Section 5. Sections 1 (representations, for the pre-termination period), 7, 8 (for events that occurred before termination), 9 (for the pre-termination period), 10, and 11 of these Contractor Terms survive termination consistent with their terms, together with the surviving provisions of the Terms. The obligation to Release or transfer amounts owed to you under Sections 4 and 5 survives termination to the extent funds remain owed.
Reactivation. If your Account was terminated and you seek reactivation, you may apply through the Platform or by contacting BidRebel support. Reactivation is at BidRebel's discretion and may require fresh Payment Processor onboarding, identity, license, or insurance verification, and acceptance of the then-current Contractor Terms — and, if you elect to obtain or restore a Background Check Badge, a fresh Background Check.
13. Indemnification (Contractor-Specific)
In addition to the indemnification obligations in Section 19 of the Terms, you agree to defend, indemnify, and hold harmless BidRebel and its officers, directors, employees, agents, affiliates, and licensors from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your breach of these Contractor Terms;
- Your misrepresentation of the facts recited in Section 1;
- Your failure to maintain required Licenses, insurance, or workers' compensation as required under Section 3;
- A safety incident attributable to the Work that causes injury or damage to a Customer, a third party, or property at the Project Site;
- Your violation of any state home-improvement, contractor-licensing, or consumer-protection statute applicable to your Trade and state of operation;
- Your violation of any federal law applicable to your Work or your use of the Platform;
- Your infringement of any third party's intellectual-property, privacy, publicity, or other rights; or
- Your engagement of a third party for any aspect of the Work where the third party causes injury, damage, or loss to a Customer or to BidRebel.
BidRebel reserves the right, at its expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with BidRebel's defense.
14. Provisions Incorporated From the Terms of Service
The following are governed by the Terms and apply to these Contractor Terms as if set forth here in full:
- Disclaimers: Section 17 of the Terms.
- Limitation of liability: Section 18 of the Terms. For clarity, the exclusions from the limitation in Section 18 of the Terms include BidRebel's obligation to Release, transfer, or remit the Held Funds and the Contractor-owed cancellation and no-show amounts owed to you under Sections 4 and 5 of these Contractor Terms.
- Changes to these Contractor Terms: Section 20 of the Terms. Material changes for Contractors additionally include any change to Section 1 (classification), Section 4 (agent-of-payee appointment and how payments are collected and held), Section 5 (Release, transfers, payout timing, and chargeback mechanics), Section 7 (anti-circumvention duration or scope), or this Section 14, each of which requires explicit re-acceptance before it binds you.
- Dispute resolution, binding arbitration, class-action waiver, opt-out, governing law, and venue: Section 21 of the Terms, which is the sole and exclusive dispute-resolution provision between you and BidRebel. For clarity, a disagreement about whether BidRebel has correctly Released, transferred, reversed, or refunded Held Funds or Contractor-owed amounts is a "Dispute" under Section 21 of the Terms, subject to the carve-outs and non-waivable statutory rights described there. Nothing in Section 21 of the Terms waives any non-waivable right you hold under federal or state law in your independent-contractor capacity.
- General provisions (severability, waiver, assignment, force majeure, notices, electronic acceptance): Section 22 of the Terms. You and BidRebel agree that these Contractor Terms may be accepted electronically through the click-through capture in the Platform consistent with the E-SIGN Act, 15 U.S.C. § 7001 et seq., and applicable state UETA enactments.
