BidRebel Glossary of Defined Terms
Version: 2.8 Effective Date: September 30, 2026 Last Updated: September 30, 2026
Preamble and Incorporation by Reference
This Glossary of Defined Terms (the "Glossary") sets forth the meaning of capitalized terms used in the BidRebel Terms of Service (the "Terms"), the BidRebel Contractor Terms (the "Contractor Terms," and together with the Terms, the "Service Agreements"), the BidRebel Fee Schedule, and the BidRebel Privacy Policy. This Glossary is incorporated by reference into the Service Agreements. In the event of a conflict between a term as used or defined in a Service Agreement and the definition of the same term in this Glossary, the Service Agreement controls.
Capitalized terms used but not defined in this Glossary have the meanings given to them in the Service Agreements, the Privacy Policy, or applicable law. Lowercase use of a term (for example, "customer" or "contractor" in descriptive prose) does not invoke the defined-term meaning unless context indicates otherwise.
Glossary Entries (Alphabetical)
Account. A user account on the Service held by a Customer or a Contractor. An Account is created during registration and is the persistent identity through which a user authenticates to the Service, accesses role-appropriate features, receives transactional and account-related notices, and maintains the user's profile, settings, and history. See: Customer; Contractor; Service.
Accountability Notice. A factual notation, generated from BidRebel's platform records, that reflects an objective, platform-recorded event associated with a user's account, as defined and described in Section 12 of the Terms. Accountability Notices are limited to the following categories: a confirmed cancellation of a Project after it was accepted; a documented failure to appear for a scheduled appointment; and disputes that were abandoned. Accountability Notices do not contain subjective conclusions, are displayed for no longer than 12 months from the date of the underlying event (unless a longer period is required by law or necessary for an ongoing dispute, investigation, or legal hold), and are subject to the dispute and correction process described in Section 12 of the Terms. See: Dispute; Review; Terms § 12.
Agent of Payee. The limited-agency relationship in which the Contractor appoints BidRebel as the Contractor's agent to collect and process, on the Contractor's behalf, the amounts the Customer owes the Contractor in connection with a Project, namely the Bid amount and the Contractor-owed cancellation fee and no-show fee set out in the Fee Schedule, such that the Customer's payment of any such amount through the Service satisfies the Customer's obligation to pay the Contractor that amount. The appointment is made by the Contractor in the Contractor Terms and is disclosed to the Customer in Section 6.2 of the Terms. See: Bid; Held Funds; Release; Contractor Terms.
Auto-Release Timeout. The automatic Release of the Bid amount to the Contractor that occurs if the Customer neither confirms the Work is complete nor opens a dispute within three (3) days after the Contractor marks the Project complete, as described in Section 6.3 of the Terms. See: Confirmation; Held Funds; Release.
Awarded Contractor. The Contractor whose Bid a Customer selects for a Project, as described in Section 5.2 of the Terms. When the Customer selects the Awarded Contractor, a service contract is formed between the Customer and the Awarded Contractor as described in Section 5.3 of the Terms, except where applicable law makes the Customer's selection conditional pending completion of required pre-contract documentation or formalities; payment is charged and held as described in Section 6 of the Terms. See: Bid; Contractor; Contractor Confirmation; Held Funds; Project.
Background Check. The optional, Checkr-administered consumer-report process a Contractor may order through the Service at the price displayed at the time of the order, as described in the Contractor Terms and the Contractor Screening section of the Privacy Policy. Completing a Background Check is not a condition of submitting Bids. The screening provider returns a screening result or eligibility status to BidRebel, and a Contractor who successfully completes the Background Check — as determined by BidRebel based on that result — receives a Background Check Badge. See: Background Check Badge; Checkr; Contractor.
Background Check Badge. The indicator displayed on a Contractor's profile showing that the Contractor completed and cleared a Background Check as of the date of the result. The Badge is not a guarantee, warranty, or endorsement by BidRebel of the Contractor, of the accuracy or completeness of any screening, or of the safety or quality of any Work. The absence of a current Badge means only that the Contractor does not currently hold a Badge; it does not indicate whether the Contractor has previously undergone a Background Check or the result of any prior screening. Continued display of the Badge may be conditioned on periodic re-screening, and the Badge may be removed as described in the Contractor Terms. See: Background Check; Checkr.
Bank Payment Discount. The discount, equal to 3% of the Bid amount, that BidRebel offers to a Customer who elects to pay by ACH direct debit from a bank account, applied at Awarded Contractor selection and displayed as its own line item reducing the all-in total, as described in Section 6.5 of the Terms and Section 3B of the Fee Schedule. The Bank Payment Discount is a discount for choosing bank payment, funded by BidRebel out of its own fees; it is not a surcharge on any other payment method, and it does not reduce the Bid amount the Contractor receives. See: Held Funds; Transaction Fee.
Bid. A Contractor's offer to perform a Project at a stated price within a stated time estimate, submitted through the Service consistent with the sealed (blind) bidding mechanic described in Section 5.2 of the Terms. Each Bid is sealed at submission; competing Contractors cannot see other Contractors' Bid amounts, the count of competing Bids, or the identities of competing bidders. Subject to Section 5.3 of the Terms, a Bid is binding upon Customer acceptance; where applicable law makes the Customer's selection conditional pending required pre-contract documentation or formalities, the Bid binds when the service contract becomes effective under Section 5.3. See: Awarded Contractor; Contractor; Customer; Project.
BidRebel. BidRebel Inc., the operator of the Service. References to "BidRebel," "we," "us," or "our" in any Service Agreement, the Fee Schedule, the Privacy Policy, or this Glossary refer to BidRebel Inc. See: Service.
Checkr. Checkr, Inc., the consumer reporting agency engaged by BidRebel to administer the Background Check process, including presentation of the required disclosure and authorization and any applicable state notices through Checkr's hosted screening flow. Checkr returns a screening result or eligibility status to BidRebel; BidRebel may access screening information through Checkr as needed to make eligibility decisions and limits the screening information it stores in its own systems to what it needs to operate the Service and meet legal requirements. See: Background Check.
Confidential Information. Non-public information about BidRebel disclosed to the Contractor through use of the Service, including bid-mechanic implementation details, bid-curation parameters, business-operations information, internal pricing strategies, internal customer-acquisition strategies, and internal vendor relationships, as further described in the Contractor Terms. Confidential Information does not include information that is or becomes generally available to the public other than as a result of the Contractor's breach, was lawfully known to the Contractor on a non-confidential basis prior to disclosure, or is required to be disclosed by law or legal process subject to prompt notice and reasonable cooperation. See: Contractor Terms.
Confirmation. The Customer's confirmation through the Service that the Work is complete, which triggers a Release of the Bid amount to the Contractor, as described in Section 6.3 of the Terms. Confirmation is a different event from Contractor Confirmation, which occurs earlier in the Project lifecycle. See: Auto-Release Timeout; Contractor Confirmation; Release.
Connected Account. The payment account the Contractor establishes with the Payment Processor through the onboarding flow presented in the Platform, through which the Contractor receives Releases, transfers, and payouts on the Service. The Connected Account is governed by the Payment Processor's account terms and services agreement, each identified and presented to the Contractor during onboarding. See: Contractor; Payment Processor; Release.
Contractor. A user of the Service who has registered as an independent service professional for the purpose of submitting Bids on Projects posted through the Service and performing the corresponding Work. A Contractor operates an independent business, sets the Contractor's own prices and availability, decides which Projects to Bid on and which to decline, decides the manner and means by which the Work is performed, uses the Contractor's own tools, equipment, and materials, and is responsible for the Contractor's own business licenses, trade Licenses, insurance, taxes, and other obligations as described in the Contractor Terms. See: Account; Bid; Connected Account; License; Skills; Trade; Work.
Contractor Confirmation. The Awarded Contractor's affirmative confirmation through the Service that the Contractor accepts the awarded Project and intends to proceed with the Work. Contractor Confirmation is the event after which the cancellation fee and the cancellation processing charge in the Fee Schedule apply to a Customer cancellation; a Customer who cancels after selection but before Contractor Confirmation receives a full refund with no cancellation fee or processing charge. Contractor Confirmation is a different event from Confirmation, which is the Customer's later confirmation that the Work is complete. See: Awarded Contractor; Confirmation.
Contractor Dashboard. The Contractor-facing dashboard within the Service through which the Contractor configures Trade, Skills, service area, License and insurance representations, payout settings on the Connected Account, and other onboarding information. See: Connected Account; License; Skills; Trade.
Contractor Terms. The BidRebel Contractor Terms, the supplemental agreement published on the Service (as amended from time to time) that governs contractor-specific subject matter and is presented to Contractors at registration. The Contractor Terms supplement the Terms and, for Contractors, control over the Terms to the extent of any conflict regarding contractor-specific subject matter. See: Terms.
Customer. A user of the Service who has registered as a customer for the purpose of posting Projects and engaging Contractors through the Service. If the Customer is an individual acting personally, the individual must satisfy the eligibility requirements in Section 2 of the Terms. If the Customer uses the Service on behalf of a business or other entity, the individual account holder must be authorized to bind that entity and the entity must satisfy the applicable eligibility requirements in Section 2 of the Terms. In each case the Customer must be the owner of the Project Site or authorized by the owner to procure the Work. See: Account; Bid; Project; Service.
Dispute. Any dispute, claim, or controversy arising out of or relating to a Service Agreement, the use of the Service, or the relationship between the user and BidRebel, as further defined in Section 21 of the Terms, subject to the carve-outs stated there. Disputes between a Customer and a Contractor regarding Held Funds are handled under Section 6.4 of the Terms. See: Held Funds; Terms § 21.
Fee Schedule. The BidRebel Fee Schedule published in the Platform and incorporated into the Terms by reference, which sets out the Platform Fee, the Transaction Fee, and the cancellation, processing, and no-show charges. See: Transaction Fee; Platform Fee; Terms § 6.5.
Glossary. This document, the BidRebel Glossary of Defined Terms, incorporated by reference into the Service Agreements as a definitional aid. In the event of a conflict, the applicable Service Agreement controls over this Glossary.
Held Funds. The amount BidRebel charges and holds when a Customer selects an Awarded Contractor (the Bid amount, the Platform Fee, the Transaction Fee, and any applicable tax, less any Bank Payment Discount), held within the Payment Processor's payment system pending Release, as defined and described in Section 6.2 of the Terms. Held Funds are not a bank deposit, are not insured by the Federal Deposit Insurance Corporation or any other deposit-insurance program, and do not bear interest; BidRebel is not a bank and is not a money transmitter. See: Auto-Release Timeout; Confirmation; Payment Processor; Release.
License. A federal, state, or local license required for the Contractor to perform the Work within the Contractor's Trade. For the Minnesota launch market, applicable contractor-licensing requirements include those under Minn. Stat. ch. 326B. The Contractor represents and warrants in the Contractor Terms that the Contractor holds all required Licenses and will keep them current at all times the Contractor is active on the Service. See: Contractor; Trade; Work.
Payment Processor. The licensed third-party payment processor engaged by BidRebel to process payments on the Service, as described in Section 6.1 of the Terms. The Payment Processor processes Customer payments, holds Held Funds within its payment system, transfers Released amounts to Contractors' Connected Accounts, and handles Know Your Customer information collected through its onboarding flow. The Payment Processor's account terms, services agreement, and privacy policy are identified and presented to the applicable user in the payment or onboarding flow. See: Connected Account; Held Funds; Release.
Platform Fee. The consideration payable to BidRebel by the Customer for facilitating the Platform, equal to 15% of the Bid amount capped at a maximum of $199.00, as described in Section 6.5 of the Terms and Section 3 of the Fee Schedule. The Platform Fee is charged on top of the Bid amount and is not deducted from the amount the Contractor receives. See: Fee Schedule; Held Funds; Transaction Fee.
Privacy Policy. The BidRebel Privacy Policy published on the Service (as amended from time to time), which describes how BidRebel collects, uses, discloses, retains, and protects personal information and how users may exercise privacy rights.
Project. A request for services that a Customer posts to the Platform, including the written description, photographs, location or service area, preferred timeline, and quality-versus-price preference that the Customer supplies, together with any additional terms the Customer and a Contractor agree to directly, as described in Sections 3.1 and 5.1 of the Terms. A Project is the unit on which Contractors submit Bids. See: Bid; Customer; Project Site; Work.
Project Site. The physical address where the Customer wishes the Work to be performed. The Project Site may differ from the Customer's billing address. The precise Project Site location is shared with the Awarded Contractor only after selection; before selection, Contractors see an approximate location or service area, consistent with the Privacy Policy. See: Awarded Contractor; Project; Work.
Release. The transfer of the Bid amount from the Held Funds to the Contractor's Connected Account on Customer Confirmation, on the Auto-Release Timeout, or on the outcome of a dispute, gated on the Contractor's Payment Processor onboarding being complete, as described in Section 6.3 of the Terms and the Contractor Terms. The transfer of Contractor-owed cancellation and no-show amounts to the Contractor's Connected Account is likewise made within the Payment Processor's flow and is subject to the same onboarding-completion condition. See: Auto-Release Timeout; Confirmation; Connected Account; Held Funds.
Review. A rating or written review submitted by a user about another user based on their experiences on the Platform, as defined and described in Section 11 of the Terms. See: Accountability Notice; Terms § 11.
Service. The BidRebel services marketplace, including the web application at bidrebel.com, any BidRebel mobile applications that BidRebel makes available, and the related backend services and application programming interfaces operated by BidRebel Inc. The Service is offered in the United States. Used interchangeably with "Platform" as defined in the Terms. See: BidRebel.
Skills. The specific service offerings within a Trade that the Contractor configures in the Contractor Dashboard (for example, within the Trade "plumbing," Skills might include water heater installation, drain cleaning, or fixture replacement). Skills inform the matching of the Contractor to eligible Projects. See: Contractor Dashboard; License; Trade.
Terms / Terms of Service. The BidRebel Terms of Service published on the Service (as amended from time to time), the baseline agreement governing all users' access to and use of the Platform. See: Contractor Terms.
Trade. A category of services the Contractor configures in the Contractor Dashboard (for example, plumbing, electrical, heating-ventilation-and-air-conditioning, general contracting, landscaping). A Contractor may configure one or more Trades and one or more Skills within each Trade. Trade selection determines applicable contractor-licensing requirements. See: Contractor Dashboard; License; Skills.
Transaction Fee. The flat, uniform fee of 3% of the Bid amount that BidRebel charges the Customer at Awarded Contractor selection, which helps cover BidRebel's cost of processing the Customer's payment, as described in Section 6.5 of the Terms and Section 3A of the Fee Schedule. The Transaction Fee applies identically to every Customer regardless of payment method, is charged on top of the Bid amount, and is not deducted from the amount the Contractor receives. Customers who elect bank payment receive the separate Bank Payment Discount. See: Bank Payment Discount; Fee Schedule; Held Funds; Platform Fee.
Work. The services the Contractor performs for the Customer pursuant to an accepted Bid. The Work is performed by the Contractor under the Contractor's own direction and control; BidRebel does not direct the manner or means by which the Contractor performs the Work. See: Bid; Contractor; Project; Project Site.
Version Governance
This Glossary is incorporated by reference into the Service Agreements. A "Substantive Change" to a Glossary entry is a change that (i) modifies the legal effect of a defined term in a manner that materially affects the rights or obligations of a Customer or a Contractor under a Service Agreement; (ii) adds, expands, or contracts the scope of a defined term in a way that changes the set of facts or circumstances to which the term applies; or (iii) is required by a change in applicable law to maintain compliance. A change that corrects a typographical error, clarifies a cross-reference, adds a citation, updates an effective date, or otherwise does not modify the legal meaning of a defined term is not a Substantive Change.
Substantive Changes to this Glossary are treated as changes to the applicable Service Agreement and follow the notice and, where applicable, re-acceptance mechanics of Section 20 of the Terms. Non-substantive changes may be reflected in the Glossary as published on the Service without re-acceptance.
